1. Definitions

• "Services" refers to any game design services, including but not limited to game skin design, 3D asset creation, game development, and VR/AR solutions provided by G4SkinRS.
• "User," "you," or "your" refers to the individual or entity accessing the Website or using our Services.
• "Content" refers to all information, text, graphics, images, designs, software, audio, video, data, and other materials available on the Website or through our Services.
• "Deliverables" refers to any digital assets, designs, or other materials created by G4SkinRS and delivered to the client as part of our Services.

2. Website Use

2.1 License to Use the Website

Subject to these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website for your personal or internal business purposes.

2.2 Prohibited Uses

You agree not to use the Website:

• In any way that violates applicable local, national, or international laws or regulations.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity.

3. Intellectual Property Rights

3.1 Website Content

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by G4SkinRS, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

3.2 Trademarks

The G4SkinRS name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of G4SkinRS or its affiliates or licensors. You may not use such marks without our prior written permission.

3.3 Service Deliverables

For commissioned work, ownership of Deliverables is subject to the specific agreement between G4SkinRS and the client. Unless otherwise specified in a separate written agreement:

• Upon full payment of all applicable fees, the client receives ownership rights to the final Deliverables as specified in the project agreement.
• G4SkinRS retains ownership of all preliminary designs and concepts not selected for final delivery.
• G4SkinRS maintains the right to display and link to the Deliverables as part of our portfolio and to write about the project for promotional purposes, unless specifically prohibited by a separate confidentiality agreement.

3.4 User Submissions

Any content, materials, or ideas that you submit to the Website (including feedback, suggestions, or comments) will be considered non-confidential and non-proprietary. By providing any such material, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology.

4. Service Terms

4.1 Service Agreements

All Services provided by G4SkinRS are subject to a separate project agreement or statement of work that outlines the specific scope, deliverables, timeline, payment terms, and other relevant details. These Terms and Conditions apply to all such agreements unless explicitly overridden in writing.

4.2 Project Changes

Any changes to the agreed-upon scope of work, deliverables, or timelines must be documented in writing and may result in additional fees and/or extended timelines. G4SkinRS reserves the right to refuse change requests that substantially alter the nature of the original project.

4.3 Client Responsibilities

Clients are responsible for:

• Providing clear project requirements and feedback.
• Reviewing and approving deliverables within the agreed-upon timeframe.
• Ensuring they have the necessary rights to any content or materials provided to G4SkinRS for use in the project.
• Making payments according to the agreed-upon schedule.

4.4 Revisions and Acceptance

The number of revision rounds is specified in each project agreement. Additional revisions beyond the agreed-upon number may incur additional fees. Unless otherwise stated in the project agreement, deliverables will be deemed accepted if no revision requests are received within ten (10) business days of delivery.

5. Payment Terms

5.1 Fees and Invoicing

Service fees are specified in the project agreement. Unless otherwise stated, all fees are quoted in British Pounds (GBP) and do not include applicable taxes, which will be added to invoices where required by law.

5.2 Payment Schedule

Payment schedules are outlined in the project agreement. Typical payment structures include:

• An initial deposit before work begins
• Milestone payments throughout the project
• Final payment upon project completion

5.3 Late Payments

Invoices are due upon receipt unless otherwise specified. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is less. G4SkinRS reserves the right to suspend work on a project if payments are overdue.

5.4 Cancellation

If a project is canceled by the client after work has begun, the client is responsible for payment for all work completed up to the cancellation date, plus any non-refundable expenses incurred. Cancellation fees may apply as specified in the project agreement.

6. Limitation of Liability

6.1 Disclaimer of Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. G4SKINRS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

6.2 Limitation of Liability

IN NO EVENT SHALL G4SKINRS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE WEBSITE OR SERVICES;
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE WEBSITE;
• ANY CONTENT OBTAINED FROM THE WEBSITE; AND
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

6.3 Cap on Liability

G4SKINRS' TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO G4SKINRS FOR THE APPLICABLE SERVICE OR PRODUCT.

6.4 Indemnification

You agree to defend, indemnify, and hold harmless G4SkinRS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Website or Services.

7. Website Content and Third-Party Links

7.1 Content Accuracy

We strive to ensure that the information on our Website is accurate and up-to-date. However, we cannot guarantee that all content will be error-free or current at all times. We reserve the right to correct any errors or omissions, and to change or update information at any time without prior notice.

8. Confidentiality

During the course of our Services, both parties may gain access to confidential information. Both G4SkinRS and the client agree to:

• Maintain the confidentiality of such information and not disclose it to third parties without prior written consent.
• Use the confidential information only for purposes directly related to the Services.
• Take reasonable measures to protect the confidentiality of such information.

This confidentiality obligation survives the termination of our Services but does not apply to information that:

• Was already known to the receiving party prior to disclosure.
• Is or becomes publicly available through no fault of the receiving party.
• Is independently developed by the receiving party without use of the confidential information.
• Is rightfully obtained from third parties without restriction on disclosure.
• Is required to be disclosed by law or court order, provided that the disclosing party is given reasonable notice and opportunity to object.

9. Termination

We may terminate or suspend your access to the Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

11. Dispute Resolution

Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the rules of the London Court of International Arbitration, which rules are deemed to be incorporated by reference into this clause.

• The number of arbitrators shall be one.
• The seat, or legal place, of arbitration shall be London, England.
• The language to be used in the arbitral proceedings shall be English.
• The governing law shall be the substantive law of England and Wales.

12. Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
